User Service Terms and Notes
1.1 "VWING" or "We": Refers to VWING, whose main business is global
social media influencer marketing services.
1.2 "Customer" or "You": By choosing to access our business platform, you agree to our service agreement and consent to be governed by the internet laws of the region where the business is located.
1.3 "Services": refers to all services provided by VY, including but not limited to influencer marketing, content creation, live streaming commerce, third-party ecosystem integration, etc.
1.4 "Internet celebrity": Refers to an individual or account entity with a certain fan base on social media platforms, possessing content creation and commercial promotion capabilities.
1.5 "MCN Institution": refers to the influencer agency and management institution that cooperates with Weiying.
1.6 "Third-party service provider": refers to service providers recommended by Vying but not directly operated by it, such as those providing warehousing and logistics, customs clearance and declaration, tax and legal services.

1.4 "Internet celebrity": Refers to an individual or account entity with a certain fan base on social media platforms, possessing content creation and commercial promotion capabilities.
1.5 "MCN Institution": refers to the influencer agency and management institution that cooperates with Weiying.
1.6 "Third-party service provider": refers to service providers recommended by Vying but not directly operated by it, such as those providing warehousing and logistics, customs clearance and declaration, tax and legal services.
Article 2 Scope and Content of Services
2.1 Core Marketing Services
Influence Output: Brand Exposure, Topic Marketing, Endorsement by Top Online Influencers
Grass-planting services: KOL/KOC content creation, word-of-mouth accumulation, and scenario-based display
Live streaming commerce: Planning, execution, and conversion tracking of live streaming on various platforms
Data Monitoring: Effect Tracking, ROI Analysis, Strategy Optimization
2.2 Third-party Ecosystem Integration
Weiying can recommend third-party service providers in areas such as cloud warehousing, logistics, customs clearance, taxation, and legal affairs based on customer needs.
Customers independently choose whether to cooperate with third-party service providers, and the relevant contracts are signed directly between the customers and the third parties.
Weiying shall not bear joint liability for the service quality of third-party service providers, but shall fulfill the obligation of reasonable and prudent recommendation.
2.3 Service Boundary
Weiying does not directly participate in the production, warehousing, logistics, and final sales processes of the goods (unless otherwise agreed in writing).
Weiying shall not be responsible for product quality defects, intellectual property disputes, and after-sales service issues.
2.1 Core Marketing Services

Weiying can recommend third-party service providers in areas such as cloud warehousing, logistics, customs clearance, taxation, and legal affairs based on customer needs.
Customers independently choose whether to cooperate with third-party service providers, and the relevant contracts are signed directly between the customers and the third parties.
Weiying shall not bear joint liability for the service quality of third-party service providers, but shall fulfill the obligation of reasonable and prudent recommendation.
2.3 Service Boundary

The client guarantees that they possess legitimate business qualifications and that the promoted products comply with the laws and regulations of the target market.
The customer guarantees that they possess complete intellectual property rights or legal authorization for the promoted products.
The customer guarantees that the product quality complies with relevant standards, with no false advertising or safety hazards.
3.2 Information Provision
Customers shall provide Vying with necessary information such as product details, brand materials, and marketing objectives in a timely, accurate, and complete manner.
The customer shall bear the losses incurred due to delays or errors in the information provided by themselves.
3.3 Duty of Cooperation
Customers should cooperate with Vying to complete necessary procedures such as content review, sample delivery, and live broadcast scheduling.
The client shall pay the service fees in a timely manner as agreed.
3.4 Compliance responsibilities
Customers should ensure that the promoted goods comply with the import regulations, labeling requirements, certification standards, etc. of the target market.
For special commodities such as food, cosmetics, and medical devices, customers should notify in advance and provide complete qualification documents.
The client guarantees that they possess legitimate business qualifications and that the promoted products comply with the laws and regulations of the target market.

4.1 Cost Composition
Basic service fee: Fixed fees for strategic planning, project management, resource matching, etc.
Influencer cooperation fees: Influencer scheduling fees, content production fees, live-streaming slot fees, etc. (settled according to actual expenses)
Advertising placement fees: Paid traffic on social media, splash screen ads, etc. (settled based on actual expenses) Third-party service fees: Fees for third-party services chosen by the customer (to be settled directly between the customer and the third party)
4.2 Payment Methods
The client shall pay an advance payment within a specified number of business days after the contract signing, with the proportion being % of the estimated total cost.
During the project implementation process, progress payments shall be made by stage or on a monthly basis.
Settle the final payment within a specified number of working days after the project ends
4.3 Invoice Issuance
Weiying will issue a legal and valid invoice to the customer upon receipt of the payment.
The invoice type and tax rate are determined based on the nature of the service and the customer's registered location.
Basic service fee: Fixed fees for strategic planning, project management, resource matching, etc.
Influencer cooperation fees: Influencer scheduling fees, content production fees, live-streaming slot fees, etc. (settled according to actual expenses)

4.2 Payment Methods

5.1 Customer Intellectual Property
The customer retains all intellectual property rights to its brand logo, trademark, and product design.
Weiying shall use the customer's intellectual property rights only within the scope of fulfilling the purposes of this contract.
5.2 Content Intellectual Property Rights
The ownership of intellectual property rights for content created by internet celebrities (including videos, graphics and texts, live broadcast replays, etc.) shall be stipulated by specific cooperation agreements.
Unless otherwise specifically agreed, the internet celebrity retains the copyright of the content, while the client obtains a perpetual, non-exclusive right of use worldwide.
Weiying has the right to use cooperation cases for its own promotion, but prior consent shall be obtained for cases involving clients' trade secrets.
5.3 Tort Liability
If the materials or product information provided by the customer infringes upon the intellectual property rights of a third party, the customer shall bear full responsibility.
If the content created by Weiying or online influencers infringes upon the intellectual property rights of a third party, Weiying shall be responsible for handling it and bearing corresponding liabilities.

Weiying shall use the customer's intellectual property rights only within the scope of fulfilling the purposes of this contract.
5.2 Content Intellectual Property Rights
The ownership of intellectual property rights for content created by internet celebrities (including videos, graphics and texts, live broadcast replays, etc.) shall be stipulated by specific cooperation agreements.
Unless otherwise specifically agreed, the internet celebrity retains the copyright of the content, while the client obtains a perpetual, non-exclusive right of use worldwide.
Weiying has the right to use cooperation cases for its own promotion, but prior consent shall be obtained for cases involving clients' trade secrets.
5.3 Tort Liability
If the materials or product information provided by the customer infringes upon the intellectual property rights of a third party, the customer shall bear full responsibility.
If the content created by Weiying or online influencers infringes upon the intellectual property rights of a third party, Weiying shall be responsible for handling it and bearing corresponding liabilities.
6.1 Data Usage
The market data, consumer behavior data, etc., collected by Weiying during the provision of services shall be owned by Weiying.
The client has the right to obtain data reports related to their own projects, but shall not use them for purposes other than those stipulated in this contract.
6.2 Privacy Protection
Both parties shall comply with data protection regulations in the target market and Hong Kong (such as GDPR, CCPA, Personal Information Protection Law, etc.)
Without the explicit consent of consumers, their personal information shall not be used for purposes other than marketing.
The market data, consumer behavior data, etc., collected by Weiying during the provision of services shall be owned by Weiying.
The client has the right to obtain data reports related to their own projects, but shall not use them for purposes other than those stipulated in this contract.
6.2 Privacy Protection
Both parties shall comply with data protection regulations in the target market and Hong Kong (such as GDPR, CCPA, Personal Information Protection Law, etc.)
Without the explicit consent of consumers, their personal information shall not be used for purposes other than marketing.
Effect commitment
Weiying commits to providing services to professional standards but does not promise specific sales volumes, conversion rates, or ROI.
The effectiveness of influencer marketing is influenced by multiple factors such as product competitiveness, market environment, and platform algorithms, and thus involves uncertainties.
liability cap
Except for losses caused by intentional misconduct or gross negligence, Vying's liability for compensation to the client shall not exceed the total service fees already paid by the client for the project.
Exemption circumstances
Weiying shall not be held responsible for losses resulting from force majeure, adjustments in platform policies, sudden breaches of contract by internet celebrities, or reasons attributable to the clients themselves.
For performance issues caused by third-party service providers, Weiying will assist in coordination but will not assume liability for compensation.
Amendment of terms
Weiying has the right to amend these terms according to business needs, and the amended terms will take effect after being publicized on the official website.
If the customer continues to use the service, it shall be deemed as acceptance of the revised terms.
